These Terms of Service ("Terms") govern your access to and use of services provided by Bundl ("we," "our," or "us"). By using our website or services, you agree to be bound by these Terms.

1. Services Provided Bundl is a group purchasing organization (GPO) that helps businesses reduce costs across multiple vendor categories, including but not limited to shipping (FedEx, UPS, DHL), MRO (maintenance, repair, operations), office supplies, software, food and beverage, and other operational expenses. Our services include cost analysis, rate negotiation, supplier onboarding, account setup support, and ongoing vendor management.

2. Eligibility To use Bundl, you must be at least 18 years old and represent a business with authority to engage third-party services. By using our services, you confirm that all information provided is accurate and truthful.

3. Payment and Fees Bundl does not charge clients upfront fees. Our compensation is based on a percentage of the cost savings we generate for you, as specified in your service agreement. If no savings are found, you pay nothing. Additional services or vendor categories may carry separate pricing, to be agreed upon in writing.

4. Client Responsibilities You agree to:

• Provide accurate and complete vendor and expense data needed for analysis.

• Notify Bundl of any changes to your vendor relationships or purchasing setup.

• Maintain active accounts with vendors or suppliers we manage.

5. Confidentiality Both parties agree to keep all confidential information shared during the relationship private and not disclose it to any third parties without written consent, unless required by law.

6. Limitation of Liability Bundl will not be liable for any indirect, incidental, or consequential damages, or any loss of profits or revenue, arising from your use of our services. Our maximum liability is limited to the total amount of fees paid by you in the preceding 6 months.

7. Termination Either party may terminate the service agreement at any time with written notice. Any savings due to Bundl prior to termination will remain payable.

8. Modifications to Terms Bundl reserves the right to update or change these Terms at any time. We will notify clients via email or website notice when updates are made.

9. Governing Law These Terms are governed by the laws of the State of [Insert State], without regard to conflict of law principles.
